CONSTITUTION

 

1. Name   The name of the organisation shall be "Little Big Band, Craven Arms” ("the Band') or occasionally "Toot-Sweet" if a more familiar & unique form is preferred.

 

2. Objective  The objective of the Band is to provide an opportunity for adult members of the community to play music together for mutual enjoyment and development.  Regular rehearsals will be held & members who are suitably prepared & available, as agreed by the Officers & membership generally may make occasional performances.

 

3. Membership  Membership will be by invitation, and may be offered to any adult (18+) who demonstrates their ability to play an instrument, relevant to the Band's repertoire, at an acceptable level of competence.  Where any doubts over competence or behaviour relating to band matters arise, the ‘Officers’ guided by the Section leaders must use their best judgement. If this gives rise to any dispute it should be dealt with at a formal meeting of the whole band. Full membership shall normally be established after the attendance & receipt of an individual's subscription for at least 8 (eight) weeks and will be considered ceased if attendance at rehearsals lapses for more than 8 (eight) weeks without notice and good reason.  Other classes of membership, guests and /or visitors may occasionally be accommodated at rehearsals and performances.

 

4. Voting  Routine decisions will informally seek a majority consensus of all available members.  More key decisions should be subject to a formal decision making meeting convened after adequate notice. All current full members shall be entitled to vote at these meetings and the AGM.

 

5. Officers  Officers, shall be elected annually at the AGM, these should include a Chairperson, Secretary & Treasurer but may include such other officers as required & agreed.

 

6. Finance  The Band shall open & operate a bank account in the name of     "The Little Big Band, Craven Arms".  Authorisation of all cheques shall be on joint signatures of at least two of any three elected & nominated Officers.  No member shall receive payment for their activities with the Band, except in reimbursement of out of pocket expenses.

 

7. AGM   An Annual General Meeting shall be held each autumn at which the accounts and balance sheet shall be presented, Officers shall be elected, and matters of general policy discussed.  At least two weeks' notice of the AGM shall be given, and minutes shall be kept of the proceedings.  A quorum for the AGM or other formal meeting shall be at least 8 (eight) members or one-third of the current membership list of the Band.

 

8. Amendments  This constitution may be amended by a vote of two-thirds of the members present and voting at an AGM.  Proposed amendments must have been circulated to all members in advance of the meeting.

 

9. Winding Up  Any proposal to wind up the Band should be circulated with notice similar to that of an AGM and shall require a deciding vote of two-thirds of those present and voting at the meeting. Any surplus assets or monies shall be identified & discussed at this meeting and then disposed of by the Officers as finally agreed, first settling any outstanding debts and then donating any residual sums to a suitable & reputable charity with similar objectives to those of the Band.
